Terms of Service

These terms explain the rules for using Docutrix: your account, trials and billing, who owns your content, and what each of us is responsible for.

1. About these terms

These terms are an agreement between you and ZGuy Software Solutions Pty Ltd (ABN 48 617 716 597), based in Wollongong, New South Wales, Australia ("Docutrix", "we", "us"). They cover your use of docutrix.com and the Docutrix app at app.docutrix.com (together, the "Service").

If you use the Service on behalf of an organisation, you confirm that you're authorised to accept these terms for it, and "you" means that organisation. If your organisation has signed a separate agreement with us (for example, an Enterprise agreement), that agreement takes priority where it differs from these terms.

2. Your account

  • You must give accurate information when you sign up and keep it up to date.
  • You're responsible for keeping your login details secure and for activity under your account.
  • Workspace admins control who has access and which documents each person can see. Tell us straight away at support@docutrix.com if you think your account has been misused.

3. Free trial

Paid plans include a 30-day free trial, with no credit card required. At the end of the trial you can choose a plan to keep using the Service. If you don't, we may suspend the workspace and later delete its content.

4. Plans, fees and billing

  • Plan features, limits and prices are shown on our Pricing page. Enterprise pricing is agreed in writing.
  • Fees are billed in advance for each billing period and are not refundable except where the law requires or we agree otherwise.
  • Upgrades take effect immediately. Downgrades take effect at the start of the next billing period. You won't lose access to your documents when you switch plans.
  • Prices exclude taxes unless stated otherwise. We will give you notice before any price change takes effect for your subscription.
  • "Unlimited" queries are subject to fair use. We may contact you, or limit usage, if use is far beyond normal team activity or puts the Service at risk.

5. Your content

You keep all rights to the documents you upload and the questions you ask ("your content"). You give us permission to host, process and display your content only as needed to provide the Service to you, including sending relevant passages to the AI model configured for your workspace to generate answers.

We never use your content to train, fine-tune or improve AI models. Our Privacy Policy and Security page explain how we protect it.

You're responsible for having the right to upload your content, and for making sure it doesn't break the law or anyone else's rights.

6. Acceptable use

You must not:

  • Use the Service for anything unlawful, or upload content you don't have the right to share.
  • Try to access other customers' data, or probe, scan or test the Service's security without our written permission. Report vulnerabilities through our Security page.
  • Disrupt or overload the Service, or get around its usage limits or access controls.
  • Reverse engineer the Service, or resell it without our agreement.
  • Use the Service to build a competing product.

7. AI-generated answers

Docutrix answers questions using your documents, and every answer links to its source so you can check it. AI can still make mistakes. Answers are not legal, financial, HR or other professional advice, and you're responsible for checking the source before relying on an answer for an important decision.

8. Integrations and third-party services

If you connect services such as Microsoft SharePoint or Google Drive, your use of those services is governed by their own terms. You authorise us to access the content you choose to connect, so that we can index it and keep it in sync.

9. Availability and changes to the Service

We work to keep the Service available and secure, but we don't promise it will be uninterrupted or error-free. Service levels (SLAs) apply only where they're included in a written Enterprise agreement. We may improve or change features over time. If we remove a major feature you pay for, we will tell you in advance.

10. Suspension and cancellation

You can cancel at any time. Cancellation takes effect at the end of your current billing period.

We may suspend or end your access if you seriously or repeatedly break these terms, don't pay fees when due, or if we need to protect the Service or other customers. Where reasonable, we will give you notice first.

After your subscription ends, we will delete your content in line with our Privacy Policy. Contact us before cancelling if you need a copy of anything.

11. Liability

Nothing in these terms excludes rights you have under the Australian Consumer Law or other laws that can't be excluded. Where we can limit our liability for breach of those guarantees, it is limited to supplying the Service again or paying the cost of having it supplied again.

To the extent the law allows, we aren't liable for indirect or consequential loss, or for lost profits, revenue or data, and our total liability under these terms is limited to the fees you paid us in the 12 months before the claim.

12. Changes to these terms

We may update these terms from time to time. We will post the new version on this page and change the "Last updated" date. If the changes are significant, we will notify customers by email or in the app before they take effect. If you keep using the Service after that, the updated terms apply.

13. Governing law

These terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.
